Corporate Counsel
The Meetings
The Members formally convene two times per year, spring and fall, for a two-day interactive session. Participants identify the issues they want to explore and the experts they want to hear from. A typical two-day Roundtable seminar will feature 3-5 speakers (outside speakers and/or Members themselves) making presentations on recent trends and innovative projects.
Issues may include topics such as:
- Our hospital wants to employ two physicians who have an enforceable noncompete agreement with their current employer, which they can buy out of for a substantial sum. Is there a means for us to pay these physicians’ buy-out amounts without being at odds with federal law?
- Are any Hospitals addressing the “on call” problems in the Emergency Department in ways other than just paying to take call? What specialties are you paying? Do you pay for availability or only if they are called in and render services?
- Partnering with physicians, a perpetual issue. Increased raiding of medical staff by our main competitor to their employment model. Physician relationships: --joint venturing, etc. What is working? What is not? What are some new alternatives to traditional medical staff structure?
- We would be interested in hearing about any new, innovative, approaches to professional liability coverage other than the formation of an offshore captive.
- Medical Staff--How to repair the loss of trust that prior administrative team created, while moving forward with progress Identifying and working with new physician leaders/potential leaders while not disenfranchising the older generation of physicians
- Physicians, physicians, physicians--high census, hospital-based physicians not playing well with others, issues arising from survey which fall at the feet of medical staff, searching for a VP of Medical Affairs, challenges in recruiting pediatric specialists to the area (radiology, neonatology, neurosurgery).
- All of the issues surrounding tax-exempt status and the intense scrutiny from the IRS and Congress, not to mention the media and plaintiff's attorneys. What are the hot issues the IRS is currently focusing on in audits of tax-exempts?
- New equipment/product assessment with Vendor: process and protocols. Any recommendations, based on experience, on “deal breaker” requirements in contracting with a vendor for purchase and implementation of an electronic medical record?
- Payor initiatives (government and private health plans), including pay-for-performance
- Can a general counsel serve as both the general counsel and compliance officer?
- Are you finding an ever-increasing demand/need for legal services? Are you just sending more to outside counsel? Hiring In-house? Defining more restrictively what needs legal review and what doesn’t?
- Transparency of quality & pricing information
- E-discovery issues for electronic medical records.
- Security issues, especially psych and ED-- Are others using armed security/company police/tasers, etc.?
The participants also enjoy the cross-pollination of ideas during Open Discussion sessions. Members are encouraged to present the issues/problems they are currently facing so that fellow Members can advise one another as peer consultants. During these interactive discussions, Members share new innovations and projects-in-process using a "grand rounds" format.
All Roundtable Meetings are skillfully facilitated to avoid wandering discussions and to promote productive dialogue and the efficient use of time spent "around the table." The "think tank" approach of the Roundtable provides a very high quality educational experience one cannot easily find elsewhere.
The Roundtable Dues, Attendance and Guest Policy Tuitions at these meetings are covered by yearly membership dues. Meeting attendance must be a high priority. A Member is strongly encouraged to send an appropriate substitute in the event he or she is unable to attend a scheduled Roundtable Meeting.
A Member may bring one guest to any Meeting, particularly an individual who is considering membership. Guest registrations are made in advance (at no additional charge)--limited to four total per Roundtable Meeting.
In order to cover the costs of the semi-annual meetings, including speaker fees, appropriate research, and operating expenses, Members pay $2,995 for two consecutive meetings.

““The Healthcare Roundtable has been a terrific resource. The ability to meet other corporate counsel in a small group setting where you can discuss matters at length, in both formal and informal settings, is extremely valuable. Heidi and the Roundtable staff do a great job of setting everything up, both at the meetings and between meetings. The ability to provide input on the meeting agenda ensures discussion on a broad range of topics important to my day to day practice.” –Briggs Andrews, Sr. VP & General Counsel, Carilion Clinic, Roanoke, VA
“Heidi Matic has mastered the formula for creating an efficient, comfortable and collegial environment for examining current issues that are of concern to hospital general counsel. With all of the members contributing, THRCC gives you a balance of substance, analysis, national perspective and practical experience that you can only get from an open discussion with your peers. A unique and incredibly valuable organization.” --Dale Hetzler, Sr. VP, General Counsel, Erlanger Health System, Chattanooga, TN

“The Roundtable is an ideal setting to ask questions of and bounce ideas off experienced counsel in a confidential setting. It really helps to have this forum available to either confirm your own instincts or to allow you to look at tough issues in a new light. The choice of great locales doesn't hurt either!” --Barry Hudgin, Associate General Counsel, Mercy Health Partners, Toledo, OH
“The Corporate Counsel Roundtable is a one of a kind opportunity to find out how others in the same position as you deal with common problems. Or, how others are struggling to resolve these problems. The openness and candor of roundtable members cannot be found in any other group of health care legal professionals.” --Jerry Sill, Sr. VP & General Counsel, Missouri Hospital Association, Jefferson City, MO
